4. Conclusion of the contract

  1. On the online shop pages, the merchant offers goods that it normally sells or rents out, but does not guarantee immediate availability of all listed products. The availability of each product is stated separately for it or will be confirmed by the merchant upon the buyer’s enquiry.
  2. Goods sold by the merchant can be ordered through the online shop or by e-mail at rental@arkaimproduction.sk.
  3. Goods offered by the merchant for rent can be ordered through the online shop or by e-mail at rental@arkaimproduction.sk.
  4. The merchant accepts orders through the online shop and by e-mail at any time. Orders are processed during business hours, every working day from 8:00 to 18:00.
  5. Ordering through the online shop
When placing an order through the online shop, the buyer goes to the sales or rental subpage, depending on their interest. The buyer then selects the chosen product and adds it to the shopping cart. In the case of rental, the buyer selects the rental dates, the minimum being one day. The buyer then fills in the billing and delivery details in the order form. Before submitting the order, the buyer can check and change the details stated in the order.
  6. Ordering by e-mail
When placing an order by e-mail, the buyer states the following details in an e-mail sent to rental@arkaimproduction.sk or rental@arkaimproduction.sk, depending on whether they wish to buy or rent:
    1. the buyer’s first name and surname,
    2. billing details,
    3. delivery address, if different from the billing address (when purchasing goods),
    4. phone number and e-mail,
    5. product code or exact name,
    6. quantity of each item,
    7. start and end date of the rental period,
    8. expected date of collection of the rented goods,
    9. chosen payment method,
    10. chosen delivery method (when purchasing goods),
and in the case of a legal entity also:
    1. company ID (IČO) and tax ID (SK DIČ) of the company,
    2. contact person, their phone number and e-mail,
    3. billing details,
    4. delivery address, if different from the billing address.
  7. The buyer may order several products within one order. If the buyer wishes to rent several products for a different period, they may create several shopping lists for different rental periods.
  8. An order that does not contain the above details may not be valid. The merchant considers the details stated in the order to be correct and bears no responsibility for any damage caused by the buyer entering incorrect or incomplete information.
  9. An order placed by any means of distance communication is binding.
  10. Depending on the nature of the goods (e.g. quantity of goods, delivery costs, etc.) and of the rental service, the merchant is entitled to ask the buyer for additional confirmation of the order, e.g. by phone or e-mail.
  11. After receiving a binding order, the merchant confirms the conclusion of the contract by e-mail sent to the address given in the order, with the terms and conditions, information on the consumer’s right to withdraw from the contract and the withdrawal form in PDF format attached. The contract is deemed concluded upon delivery of the confirmation. A contract concluded in this way is binding and may be changed or cancelled only by agreement of both contracting parties or for the reasons stated in these terms and conditions or in the law.
  12. The buyer agrees to the use of means of distance communication without the physical presence of the merchant and the consumer, in particular the online shop, e-mail, telephone, etc., when concluding the purchase contract. The costs of using means of distance communication incurred by the buyer in connection with the conclusion of the contract are borne by the buyer and do not differ from the basic rate.

5. Rights and obligations of the contracting parties

  1. The subject of the contract is the rights and obligations of the contracting parties.
  2. Depending on whether goods are sold or rented, the merchant is in particular obliged to:
    1. provide the consumer with information in accordance with the relevant provisions of the Consumer Protection Act and other relevant legislation,
    2. in the case of sale, pack the goods for transport so that they are not damaged,
    3. deliver/rent the ordered goods to the consumer properly and on time,
    4. in the case of sale, deliver to the buyer, at the latest together with the goods, all documents necessary for the proper acceptance and use of the product in accordance with relevant legislation.
  3. The merchant is entitled to payment of the agreed price properly and on time.
  4. Depending on whether goods are purchased or rented, the buyer is in particular obliged to:
    1. accept the goods at the place of destination according to the delivery terms in accordance with these terms and conditions,
    2. pay the merchant the agreed price for the sale or rental within the due date, including the costs of delivery of the goods, unless the contracting parties have agreed that the delivery costs are borne by the merchant,
    3. in the case of rental, return the rented item to the merchant in accordance with these terms and conditions.
  5. The buyer is entitled to delivery of the goods by the merchant properly and on time.

6. Price and payment terms

  1. The sale prices of individual goods and the rental prices on the online shop pages are current and valid. They are stated including value added tax (VAT) at the statutory rate, as the merchant is a VAT payer, and all other taxes per unit of goods. Prices are valid for as long as they are published in the online shop.
  2. In the case of rental, the price is set per day of rental.
  3. Prices are not personalised for the buyer on the basis of automated decision-making.
  4. The price is shown in the order form immediately before the binding order is submitted. In the case of a purchase, it consists of the sale price of all selected goods including all taxes, fees and delivery costs that the buyer must pay to obtain the goods. In the case of rental, it consists of the rental price for the selected period including taxes. Before submitting the order, the buyer can check and correct it.
  5. If the merchant offers a discount on goods, it will also state the lowest price of the goods in the last 30 days.
  6. The buyer is obliged to pay the price agreed in the contract, including packaging and delivery costs, within the due date, but no later than upon receipt of the goods. The price may only be changed by agreement of the contracting parties.
  7. The buyer may pay the agreed price in the following ways:
    • In person upon collection at the merchant’s premises – the buyer pays the price in person upon collection at the merchant’s premises at Rybničná 40, 831 06 Bratislava, in cash or by payment card.
    • Payment in advance by bank transfer – the buyer pays the price in advance by bank transfer according to the details stated in the order confirmation. The goods will be handed over only after the price has been credited to the merchant’s account.
    • Online by payment card – the buyer pays the price online by payment card. The goods will be handed over only after the price has been credited to the merchant’s account.
    • Payment by invoice – in the case of rental, the contracting parties may agree on payment of the price by invoice. This payment method requires the merchant’s consent and the buyer has no legal entitlement to it.
  8. If the buyer chooses one of the methods of paying the price in advance before the goods are handed over or delivered, the purchase price is valid for 7 days from the date of conclusion of the contract. If the buyer does not pay the price within the set period, the merchant has the right to withdraw from the contract, thereby cancelling the order. The merchant is not obliged to hand over or dispatch the goods before the price is credited to its account.
  9. The document proving the sale, including the price of the goods, is the invoice (tax document), which is sent by e-mail and also serves as the delivery note and warranty certificate.
  10. If the buyer is a business, in the event of delay with any payment or part thereof, the merchant has the right to demand from the buyer a contractual penalty of 0.5 % of the amount due for each day of delay until payment. The contractual penalty is payable within 7 days of receipt of the request for payment. Payment of the contractual penalty does not affect the right to compensation for damage.

7. Delivery terms for the sale of goods

  1. In the case of the sale of goods, the costs of delivery are borne by the buyer, unless the contracting parties agree otherwise. Delivery costs will be calculated precisely in the order form after selecting the required delivery method.
  2. The buyer may choose one of the following methods of delivery of the purchased goods:
    1. personal collection at the merchant’s premises at Rybničná 40, 831 06 Bratislava after prior arrangement of the date by phone,
    2. delivery arranged by the merchant according to the current price list.
  3. If the delivery price cannot be determined in advance in the order form (e.g. for delivery abroad or oversized shipments), it will be determined individually based on the carrier’s current conditions.
  4. The merchant undertakes to deliver the ordered goods to the buyer without undue delay, no later than 30 days from the date of confirmation of the order, unless the contracting parties have agreed otherwise or a different delivery period is stated for the selected goods. The goods are dispatched as soon as possible with regard to the merchant’s capacity. The merchant usually dispatches the shipment within 3 – 5 working days. The buyer will be informed of the dispatch of the goods by e-mail.
  5. The buyer is obliged to accept the goods at the place stated in the order in person or to ensure that the goods are accepted by a person designated by the buyer. The goods are delivered at the moment they are accepted by the buyer or a person designated by the buyer.
  6. If the merchant does not deliver the ordered goods on time, the buyer may withdraw from the contract even without granting an additional period for performance if
    1. the merchant has refused to deliver the goods,
    2. timely delivery was extremely important with regard to all the circumstances of the conclusion of the contract, or
    3. the buyer informed the merchant before the conclusion of the contract that timely delivery was extremely important.
  7. After withdrawal from the contract under paragraph 6 of this article, the merchant shall return to the buyer without undue delay everything it received from the buyer under the contract.
  8. From the moment the goods are handed over to the carrier for transport, the carrier is responsible for any damage. For this reason, a buyer who is a business is obliged, when accepting the goods from the carrier, to check that the packaging of the shipment is intact and to notify the carrier without delay of any defects. The merchant strongly recommends this to a buyer who is a consumer. In the event of obvious damage to the packaging indicating unauthorised interference with the shipment, the buyer need not accept the shipment from the carrier. By signing the delivery note, the buyer confirms that the packaging of the shipment containing the goods was intact.
  9. If a buyer who is a business receives damaged goods, they are obliged to keep them in their original condition and original packaging as received. The buyer is not entitled to repack the goods in other packaging or otherwise handle them further. The merchant recommends that a buyer who is a consumer do the same.
  10. After receiving the goods, the buyer inspects them and informs the merchant of any defects found without undue delay. If the buyer discovers damage to the goods or another defect only after receipt, the buyer shall notify the merchant without undue delay by e-mail at rental@arkaimproduction.sk.

8. Special arrangements concerning the rental of goods

  1. Goods must be ordered for rental at least one day in advance. If goods are ordered one working day in advance, they will be ready for collection on the following working day between 07:00 and 09:00.
  2. In the case of rental, the buyer collects the goods in one of the following ways:
    1. personal collection at the merchant’s premises at Rybničná 40, 831 06 Bratislava,
    2. delivery arranged by the merchant according to the current price list.
  3. If the buyer chooses personal collection, the rented goods must be collected between 07:00 and 09:00 on the day the rental begins. If the buyer cannot collect the goods at the set time, by agreement with the merchant they may also collect them on the following working day from 08:00. In the event of later collection of the rented goods, the buyer is not entitled to a refund of a proportionate part of the price or to any other compensation, nor to an extension of the rental period by this time.
  4. If the contracting parties agree on delivery arranged by the merchant, the buyer is obliged to accept the rented goods at the agreed date and time. If the buyer does not accept the rented goods at the agreed date, the buyer is obliged to compensate for the related damage.
  5. When collecting the goods, a security deposit in the amount set by the merchant must be paid. The amount of the security deposit will be communicated to the buyer by e-mail in the confirmation of the conclusion of the contract. The security deposit serves to secure any claims of the merchant in connection with the rental of the goods. The merchant is not obliged to hand over the rented goods to the buyer unless the buyer pays the deposit in the agreed amount. If the buyer refuses to pay the deposit, the merchant may withdraw from the rental contract. Upon withdrawal, the contract is cancelled and each contracting party is obliged to return what it has received from the other contracting party. The merchant is entitled to return to a buyer who is not a consumer the rental price reduced by compensation for the damage incurred in this connection.
  6. A buyer who is not a consumer agrees to the unilateral set-off of any claim of the merchant arising in connection with the contract and these terms and conditions (e.g. claim for default interest, claim for a contractual penalty, claim for compensation for damage) against the buyer’s claim for the return of the deposit. If the merchant has any financial claim against the buyer, the merchant will satisfy it from the deposit and return the remaining part of the deposit to the buyer.
  7. Goods are rented for one working day or, where agreed between the contracting parties, for several working days. Rented goods must be returned on the following day or, if rented for several days, on another day, no later than 09:00. If the buyer is late in returning the rented item, a buyer who is not a consumer is obliged to pay a contractual penalty equal to the price of renting the goods for one day for each day or part of a day of delay in returning the rented goods. The contractual penalty is payable when claimed by the merchant upon return of the rented goods by the buyer. The buyer is obliged to pay the contractual penalty upon returning the rented goods. Payment of the contractual penalty does not entitle the buyer to an extension of the rental period.
  8. The merchant hands over the rented goods to the buyer in fully functional and faultless condition. The buyer undertakes to use the rented goods exclusively for their intended purpose so that they are not damaged, lost or destroyed. The buyer must not use the rented goods contrary to their intended purpose, expose them to extreme conditions or use them in a manner capable of damaging them.
  9. The lessee is not entitled to interfere with the rented goods in any way, repair, modify or disassemble them, etc.
  10. The buyer is obliged to notify the merchant immediately of any damage to the rented goods.
  11. The buyer is obliged to return the rented goods in the same condition in which they were received. If the buyer returns damaged goods or goods used beyond normal use, the buyer is obliged to compensate for the damage.
  12. The buyer is liable for damage caused to the rented goods. In the event of damage to the rented goods, the buyer is obliged to compensate the merchant for the damage caused, covering both actual damage and lost profit. A buyer who is not a consumer agrees that the merchant may unilaterally set off its claim for compensation for damage against the buyer’s claim for the return of the deposit.
  13. The merchant is entitled to withdraw from the rental contract if the buyer uses the rented goods in breach of these terms and conditions. Upon withdrawal, the rental contract is cancelled and the buyer is obliged to return the rented goods without undue delay. If the merchant withdraws from the contract for this reason, the buyer is not entitled to a refund of the rental price paid.

9. Acquisition of ownership and transfer of risk of damage to goods

  1. Ownership of the sold item and the risk of accidental destruction, accidental deterioration and loss pass to a buyer who is a consumer at the moment of delivery.
  2. Ownership of the sold item passes to a buyer who is a business at the moment of full payment of the entire purchase price.
  3. The buyer does not acquire ownership of a rented item.

10. Customer reviews

  1. The merchant does not publish customer reviews in the online shop or in other suitable places.
  2. Interested parties may publish a review on google.com; the merchant does not verify these reviews.

11. Withdrawal from the contract

When the consumer has the right to withdraw from the contract

  1. Withdrawal from the contract by a buyer who is a consumer is governed by the relevant provisions of the Consumer Protection Act. Withdrawal from the contract by a buyer who is a business is governed by the relevant provisions of the Commercial Code, and the provisions of this article do not apply to such buyer.
  2. The consumer has the right to withdraw from a distance contract or an off-premises contract without giving any reason within 14 days from the date of receipt of the goods by the consumer or, in the case of the provision of a service, from the date of conclusion of the contract for the provision of the service. The goods are deemed received by the consumer at the moment the consumer or a third party designated by the consumer, other than the carrier, takes over all parts of the ordered goods, or if
    1. goods ordered by the consumer in one order are delivered separately, at the moment of receipt of the goods delivered last,
    2. goods consisting of several parts or pieces are delivered, at the moment of receipt of the last part or piece,
    3. goods are delivered repeatedly over a certain period, at the moment of receipt of the first goods.
  3. The consumer may withdraw from a contract for the delivery of goods even before the withdrawal period begins.

When the consumer does not have the right to withdraw from the contract

  1. The consumer acknowledges that in the cases set out in Section 19(1) of the Consumer Protection Act, they do not have the right to withdraw from the contract without giving a reason within 14 days. These are in particular cases where the subject of the contract is
    1. the supply of goods made to the consumer’s specifications or goods made to measure,
    2. the supply of sealed goods which are not suitable for return due to health protection or hygiene reasons, if the seal has been broken after delivery,
    3. the supply of goods which, by their nature, may be inseparably mixed with other goods after delivery.
  2. The consumer does not have the right to withdraw from the contract without giving a reason within 14 days if the subject of the contract is the provision of a service and
    1. the service has been fully provided, and
    2. the provision of the service began before the expiry of the withdrawal period with the consumer’s express consent and the consumer declared that they had been duly informed that by giving consent they lose the right to withdraw from the contract once the service has been fully provided, if the consumer is obliged to pay the price under the contract.

Information on giving consent

  1. Before the expiry of the withdrawal period, the consumer may give the merchant consent to begin providing the service. By giving this consent, the consumer loses the right to withdraw from the contract once the service has been fully provided.
  2. It follows that in the case of rental of goods, it is possible to withdraw from the contract only until the moment the service has been provided, i.e. until you have collected the rented goods. Once the service has been provided and consent to its provision has been given, you lose this right.

How the consumer can exercise the right to withdraw from the contract

  1. The consumer may exercise the right to withdraw from a distance contract or an off-premises contract in one of the following ways:
    1. in writing by sending a notice to the merchant’s registered office,
    2. by e-mail by sending a notice to rental@arkaimproduction.sk.
  2. The consumer may use the model withdrawal form.
  3. To withdraw from the contract in time, the consumer must send the notice of withdrawal no later than on the last day of the period. Merely not accepting the shipment is not considered withdrawal from the contract.
  4. Withdrawal from the contract also cancels any ancillary contract; this does not apply if the contracting parties expressly agree that the ancillary contract will continue. In that case, the consumer also bears the costs of returning the goods that were the subject of the ancillary contract.
  5. The consumer is obliged to send the goods back within 14 days from the date of withdrawal from the contract. This does not apply if the merchant offers to collect the goods in person or through a person authorised by it. The deadline is deemed met if the consumer sends the goods no later than on the last day of the period.
  6. The costs of returning the goods to the merchant are borne by the consumer. This does not apply if the merchant has agreed to bear the costs of returning the goods.
  7. The consumer is liable for any diminished value of the goods resulting from handling the goods beyond what is necessary to establish the nature, characteristics and functioning of the goods. If the consumer has returned goods whose value has been diminished as a result of such handling, the merchant may claim the related damage.
  8. The merchant recommends that the buyer insure the goods being returned. The risk of damage to the goods being returned is borne by the buyer until the moment the merchant receives them.

12. Obligations of the merchant upon withdrawal from the contract

  1. Within 14 days from the date of delivery of the notice of withdrawal, the merchant is obliged to refund to the consumer all payments received from the consumer under or in connection with the contract, including costs of transport, delivery, postage and other costs and fees, or part thereof if the consumer has not withdrawn from the entire contract. The merchant may not charge the consumer additional costs for transport, delivery, postage or other costs and fees.
  2. The merchant is not obliged to refund payments to the consumer before the goods are delivered to it or until the consumer proves that the goods have been sent back to the merchant, unless the merchant offers to collect the goods in person or through a person designated by it.
  3. If the consumer chose a method of transport other than the cheapest one offered by the merchant, the merchant will refund the delivery costs only up to the amount of the cheapest delivery.
  4. The merchant will refund payments to the consumer using the same method the consumer used for payment, unless agreed otherwise.
  5. The merchant reserves the right not to accept goods sent by the buyer cash on delivery.

13. Failure to accept ordered goods

  1. The buyer is obliged to accept the ordered goods at the place of destination.
  2. If the buyer does not accept the purchased goods without having withdrawn from the purchase contract in accordance with Art. 11 of these terms and conditions, this is considered a breach of the purchase contract for reasons on the buyer’s side, as a result of which the merchant is entitled to withdraw from the purchase contract and claim compensation for damage from the buyer under Section 420 of the Civil Code.
  3. When determining the amount of damage, the merchant primarily takes into account the costs associated with delivering the goods to the place of destination.
  4. The merchant also has the right not to claim compensation for damage or to claim it only in part.
  5. If the rented item is not collected, the buyer is obliged to pay the agreed price for the rental.
  6. If, for reasons on the buyer’s side, the goods need to be delivered repeatedly or in a manner other than stated in the order, the buyer is obliged to pay the costs associated with repeated delivery or the costs associated with the other delivery method, and the merchant may require payment of the purchase price in advance.
  7. If, after a rental contract has been concluded, the buyer does not collect the rented goods without having withdrawn from the rental contract, the buyer is obliged to pay the agreed rental price properly and on time.

14. Withdrawal from the contract by the merchant

  1. The merchant has the right to withdraw from the contract if it is unable to deliver or rent the goods to the buyer properly and on time, in particular because of sold-out stock or unavailability of the goods. The buyer will be informed of the withdrawal by e-mail and, if the purchase price or part of it has been paid, the funds will be refunded within 14 days to the account designated by the buyer, unless agreed otherwise with the merchant.

15. Dispute resolution

  1. Legal relations arising between the merchant and the buyer in connection with the use of the online shop and the conclusion of a contractual relationship are governed by the laws of the Slovak Republic.
  2. The parties to this legal relationship have agreed that in the event of a dispute, the courts of the Slovak Republic shall have jurisdiction.
  3. The merchant handles consumer complaints via the contact e-mail address. Information on the handling of complaints is sent to the buyer’s e-mail address.
  4. In the event of a dispute between the merchant and a consumer, the consumer is entitled to contact the merchant with a request for redress if the consumer is not satisfied with the way a complaint was handled or believes that the merchant has violated their rights. The request for redress can be sent by e-mail to rental@arkaimproduction.sk or by post to the merchant’s address. If the merchant has responded negatively to the request or has not responded within 30 days of its dispatch, the consumer has the right to file a petition to initiate alternative dispute resolution with one of the alternative dispute resolution entities.
